These Terms of Service (“Terms”) govern your use of the Object-Centric Workflow Assistant (the “Plugin”) and related services operated by ARX.INSTITUTE / ARX株式会社 (“we,” “us,” “our”) (collectively, the “Service”). By accessing or using the Service, you agree to these Terms.
1. The Service
1.1 Overview
The Service provides object-centric workflow tracking and collaboration features for Figma (including status, assignee, comments, history, and related sync features). Some features require a paid subscription.
1.2 Changes to the Service
We may modify, add, or remove features at any time. We will make reasonable efforts to provide notice for material changes, but notice is not always possible (e.g., security fixes).
2. Eligibility and Accounts
2.1 Eligibility
You must have the legal capacity to enter into these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
2.2 Account and Authentication
You may need to sign in using email-based Magic Link authentication. You are responsible for maintaining the confidentiality of your account access and for all activity under your account.
3. Subscriptions, Billing, Trials, and Cancellation
3.1 Plans and Billing
Paid plans are billed monthly via Stripe (not Figma native payments). Plan limits (e.g., seats, active objects, invites) may apply as described on our pricing page and/or in-product.
3.2 Trials
Team/Studio trials are 30 days and require a valid payment method to start. If you do not cancel before the trial ends, your subscription converts to a paid plan and renews monthly unless canceled.
3.3 Taxes, Currency, and Fees
Prices are displayed in USD unless stated otherwise.
Taxes (such as VAT/consumption tax) may apply depending on your location and will be shown at checkout if applicable.
Foreign exchange conversions and card/bank fees (including foreign transaction fees) are determined by your card issuer/bank and are your responsibility.
3.4 Cancellation
You can cancel anytime in the Stripe customer portal. Access remains until the end of the current billing period (or trial), unless we suspend/terminate for cause under these Terms.
3.5 Refunds
Subscriptions are non-refundable and we do not provide prorated refunds for partial months, except where required by law or in case of billing error.
4. Plan Limits and Usage Rules
4.1 Plan Limits
Plan limits (seats, active objects, invites, and related constraints) may apply as described on the pricing page and inside the Service. We may change limits or plans over time with reasonable notice.
4.2 Over-Limit Behavior
Over-limit behavior may differ by plan (e.g., recommendation modal, blocking until upgrade or usage reduction) as described on the pricing page or in-product.
5. Acceptable Use
You agree not to misuse the Service, including:
- attempting unauthorized access to other users’ data or accounts
- interfering with the Service or infrastructure
- reverse engineering, decompiling, or attempting to extract source code except to the extent permitted by law
- using the Service for unlawful, harmful, or abusive activities
We may suspend or terminate access if you violate these Terms.
6. User Content and Responsibilities
6.1 Your Content
You are responsible for the content you create, upload, or synchronize through the Service (including data originating from your Figma files and your organization’s workflows).
6.2 Sensitive Data
You should not submit sensitive information (e.g., passwords, payment card numbers, special-category personal data) through the support form or other Service channels. Do not include confidential information in support messages unless necessary.
7. Third-Party Services
The Service relies on third-party services (e.g., Supabase for authentication/sync infrastructure, Stripe for billing and payment processing, Google services for support forms/hosting where applicable). Your use of those services may be subject to their terms and policies. We are not responsible for outages or failures caused by third-party services outside our control.
8. Availability and Support
8.1 Availability
We aim to keep the Service available, but uptime is not guaranteed. Maintenance, updates, and outages may occur.
8.2 Support
Support is provided primarily via the support form. In most cases, we aim to respond within 1–2 business days. Response times are targets, not guarantees.
9. Intellectual Property
9.1 Our IP
We and our licensors own all rights, title, and interest in the Service, including software, design, branding, and documentation. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
9.2 Feedback
If you provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free license to use it without restriction.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
11. Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data.
Our total liability for any claim arising out of or related to the Service is limited to the amount you paid to us for the Service in the last 1 month, or $100, whichever is greater.
12. Indemnification
You agree to indemnify and hold us harmless from claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service, your violation of these Terms, or your content.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if required by law. Upon termination, your right to use the Service will cease.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. Any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance, unless otherwise required by law.
